These Terms of Service ("Terms") govern your access to and use of the Simperic SAS ("Simperic", "we", "us", or "our") API services, website (simperic.com), and any related software or documentation (collectively, the "Service").
Subject to your compliance with these Terms, Simperic grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business operations or personal use as applicable.
The Service is provided on a "best-efforts" basis. While we strive for high availability and accuracy, we do not guarantee that the Service will be uninterrupted, error-free, or completely accurate at all times. Simperic is not responsible for any delays, delivery failures, or any other loss or damage resulting from the transfer of data over communications networks and facilities, including the internet.
The data provided through the Service is sourced from public filings and other third-party sources. While we endeavor to ensure the accuracy and timeliness of this data, Simperic makes no warranties or representations as to its completeness or accuracy. The information provided is for operational processing and informational purposes only and must not be considered investment advice, financial advice, or a recommendation to buy or sell any securities. Simperic is not responsible for any decisions made on the basis of the data provided through the Service.
Access to the sandbox environment of the API is currently provided free of charge. For production access, we offer various pricing tiers based on usage volume and features required:
All pricing is based on annual subscription contracts. Simperic reserves the right to modify pricing with 30 days' notice for existing customers.
To the maximum extent permitted by applicable law, in no event shall Simperic, its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
In no event shall Simperic's total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort (including negligence), or otherwise) exceed the amount of fees paid by you to Simperic for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater, if no fees have been paid.

Simperic may suspend or terminate your access to the Service at its sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
You may terminate your use of the Service at any time by ceasing all use and, if applicable, deleting your account or notifying us.
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Paris, France.
Simperic reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Website or through other communication channels. Your continued use of the Service after such modifications constitutes your acceptance of the new Terms.
